North Georgia Electric Membership Corporation (NGEMC)

The Residential Time-of-Use (TOU) Rate is designed to encourage the use of electricity during lower-cost periods, reduce consumption during periods of highest system demand, better align retail pricing with the Cooperative's cost of power supply, and provide members with an opportunity to lower their monthly electric bill by shifting eligible usage away from peak periods.

This rate shall be available throughout the Cooperative's service area from existing lines of adequate capacity to qualified residential members where the Cooperative has installed, or is able to install, metering and communications equipment capable of measuring usage by time period. Availability under this schedule is subject to the Cooperative's Service Rules and Regulations, engineering requirements, system limitations, and other applicable Cooperative policies.

This rate is applicable to individually metered residential service supplied to a single-family dwelling used as the Member's principal year-round residence. This rate is not intended for temporary service, resale service, or any service that, in the Cooperative's judgment, is incompatible with TOU metering, billing, or program administration requirements. Participation is voluntary and subject to Cooperative approval.

Service shall be alternating current, single-phase, 60 hertz, at the Cooperative's standard secondary voltage. Three-phase residential service, where available and specifically approved by the Cooperative, may be served under this schedule only upon written approval and under such additional terms as the Cooperative may require.

On-Peak Energy. All kilowatt-hours (kWh) used during the hours designated by the Cooperative as peak demand hours.

Off-Peak Energy. All kilowatt-hours used during all hours not designated as On-Peak Energy under this schedule.

Billing Month. The period between regular meter reading dates established by the Cooperative.

Observed Holiday. Any holiday designated by the Cooperative for purposes of TOU billing.

Effective Date. The date on which service under this schedule begins, which shall generally be the first full billing cycle following enrollment approval and meter configuration.

Unless and until modified by the Cooperative through its approved rate schedule, the following default TOU periods are recommended for this residential offering:

The Member shall pay, each month, the billing charges established by the Cooperative for service under this schedule, including:

• Grid Support Fee: $26.56 per month
• Energy Charges:

Summer Period      20.437¢ per kWh per month for all onpeak kWh, plus
4.721¢ per kWh per month for all offpeak kWh
June – September Onpeak Hours are 2-8 pm

Winter Period      22.888¢ per kWh per month for all onpeak kWh, plus
4.940¢ per kWh per month for all offpeak kWh
December – March Onpeak Hours are 5-11 am

Transition Period 21.780¢ per kWh per month for all onpeak kWh, plus
5.168¢ per kWh per month for all offpeak kWh
April – May and October –Onpeak Hours 2-8 pm
November Onpeak Hours 5-11am

Weekends and Holidays are excluded. The holidays listed below follow Federally Observed Holidays:

The Cooperative may revise the above charges, time periods, or billing determinants in accordance with applicable law, board-approved tariff changes, wholesale power cost changes, and Cooperative policy.

The minimum monthly charge under this schedule shall be the Basic Service Charge, together with any applicable facilities charges, taxes, fees, riders, adjustments, or other amounts required under the Cooperative's then-effective rate schedules and service rules.

The bill calculated under this schedule shall be increased or decreased by any applicable power cost adjustment, fuel cost adjustment, wholesale power cost adjustment, tax, franchise fee, regulatory charge, system support charge, or other rider or surcharge approved or adopted by the Cooperative and applicable to residential service. All charges under this schedule are subject to applicable federal, state, and local taxes.

The Cooperative shall furnish, install, own, operate, test, inspect, maintain, repair, replace, and have access to all meters, meter communications devices, and related equipment required to provide service under this schedule. The Member shall always provide the Cooperative with safe and reasonable access to such metering equipment. If additional facilities, communications equipment, rewiring, panel modifications, meter base changes, or other system upgrades are required to provide service under this schedule, the Cooperative may require the Member to pay the cost thereof, in whole or in part, including any required contribution in aid of construction. Any damage to Cooperative-owned metering or communications equipment caused by the Member, the Member's contractor, or conditions on the Member's premises may be billed to the Member.

The initial term of service under this schedule shall be twelve (12) consecutive months beginning on the Effective Date. The Member agrees to remain on the TOU Rate for the full initial term. After expiration of the initial term, service under this schedule shall continue until terminated or changed by the Member or the Cooperative in accordance with this Agreement and the Cooperative's then-effective service rules. A Member who elects this rate may not switch to another residential rate during the initial 12-month term except as otherwise approved by the Cooperative.

If the Member requests to discontinue this rate prior to completion of the 12-month minimum term, the Cooperative may, in its sole discretion:

• deny the request until the minimum term has been satisfied;
• approve the request effective at the end of the current billing cycle or another administratively reasonable date; or
• approve the request subject to recovery of any administrative cost, metering cost, unamortized equipment cost, or other applicable adjustment permitted by Cooperative policy.

The Cooperative may waive the minimum term where there has been a substantial change in the character or conditions of the Member's service, including relocation, sale of the premises, permanent change in occupancy, material change in electric load, or other circumstances deemed sufficient by the Cooperative.

Bills under this schedule shall be rendered monthly in accordance with the Cooperative's regular billing practices. If the Member's account is not paid by the applicable due date, late fees, collection activity, disconnection, and reconnection charges may apply in accordance with the Cooperative's Service Rules and Regulations. Failure to receive a bill shall not relieve the Member of the obligation to pay for service received.

The Member may participate in budget billing, load management, demand response, or other optional residential programs offered by the Cooperative only to the extent permitted under the Cooperative's then-current program rules. The Cooperative reserves the right to determine whether this TOU schedule may be combined with any other rider, pilot, incentive, credit, or special program.

b. the Member understands that electricity used during On-Peak periods will be billed at a higher rate than electricity used during Off-Peak periods;

c. actual savings are not guaranteed and will depend on the Member's ability to shift usage away from On-Peak periods;
d. the Member authorizes the Cooperative to install and maintain any metering or related equipment necessary to implement this rate;
e. the Member understands and accepts the 12-month minimum participation term; and
f. service under this schedule remains subject to the Cooperative's Service Rules and Regulations and all other applicable rate schedules, riders, fees, and policies.

The Cooperative reserves the right to revise, amend, suspend, or discontinue this schedule, including the applicable pricing, eligibility standards, time periods, program rules, or billing provisions, in accordance with applicable law, contractual wholesale power obligations, and Cooperative policy. If this schedule is materially modified or discontinued, the Cooperative may transfer the Member to another applicable residential rate schedule upon reasonable notice.
